Terms of Service

These Terms of Service ("Terms") are an agreement between you and Sonara Music (ABN 33 852 675 013) ("Sonara", "we", "us", "our") governing your use of Sonara, our AI music service available at app.playsonara.com, and our website at playsonara.com (together, the "Service").

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old to use the Service. By using the Service you confirm that you meet this requirement and, if you are using the Service on behalf of an organisation, that you have authority to bind that organisation to these Terms.

2. Your account

You are responsible for your account and everything that happens under it. Keep your sign-in credentials secure and notify us promptly at hello@playsonara.com if you suspect unauthorised access. You must provide accurate account information and keep it up to date. You may not share, sell or transfer your account.

3. The Service

Sonara lets you generate original music using AI, automatically separates each track into individual instrument stems, and provides playback tools designed for practising and playing along. Features vary by plan as described on our pricing page. We may add, change or remove features from time to time; if a change materially reduces the core functionality of a paid plan, we will give you reasonable notice.

4. Plans, tokens and billing

Plans. The Service offers a free plan and paid subscription plans. Current pricing, token allocations and plan features are set out on our pricing page and are charged in US dollars (USD). Prices shown may exclude applicable taxes, which are calculated at checkout based on your billing location.

Tokens. Music generation consumes tokens. Free plan tokens replenish on a rolling basis as described in the Service. Paid plan tokens are allocated each billing cycle. Unused tokens do not roll over to the next billing cycle and have no cash value. Tokens are consumed when a generation is submitted, including generations you later choose not to keep.

Billing. Paid subscriptions are billed in advance on a recurring monthly basis through our payment processor, Stripe, and renew automatically until cancelled. By subscribing, you authorise us to charge your payment method each billing cycle.

Plan changes. You can upgrade, downgrade or cancel at any time through the billing portal in your account. Upgrades take effect immediately; downgrades and cancellations take effect at the end of the current billing cycle, and you keep your existing plan's features until then.

Price changes. We may change subscription prices with at least 30 days' notice by email. Price changes apply from your next billing cycle after the notice period. If you do not accept a price change, you may cancel before it takes effect.

5. Cancellations, refunds and consumer guarantees

You can cancel your subscription at any time via the billing portal; you will retain access until the end of the paid period, and we do not provide pro-rata refunds for the remainder of a billing cycle in which you cancel.

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded. If the Service fails to meet a consumer guarantee, you are entitled to the remedies provided by law, which may include a refund. 6. Your content

You retain ownership of the prompts, text, settings and other inputs you provide to the Service ("Inputs"). You grant us a worldwide, non-exclusive, royalty-free licence to use, store, reproduce and process your Inputs solely to operate, provide, secure and improve the Service, including passing them to the third-party AI providers we use to generate music. We do not use your Inputs or generated music to train our own AI models.

You are responsible for your Inputs. You must have the rights to anything you submit, and you must not submit content that is unlawful, infringing, or that identifies a real person or artist for imitation without their consent.

7. Generated music and intellectual property

Your rights in output. Subject to these Terms and to your compliance with them, we assign to you, to the extent we are able, our rights in the music, stems and artwork generated for you through the Service ("Output"). Your rights in Output are limited by the rights granted to us by our upstream AI music provider; you receive rights no broader than those we hold.

Commercial use. [Commercial use rights — e.g. releasing, performing, monetising Output — are available on the plans specified on our pricing page.]

No guarantee of uniqueness or protectability. AI systems can produce similar output for different users, and you acknowledge that Output may resemble content generated for others. The legal status of AI-generated works varies by jurisdiction, and copyright may not subsist in Output in some jurisdictions, including under current Australian law. We make no warranty that Output is protectable, unique, or free of third-party claims.

Our IP. The Service itself — including our software, design, branding and the Sonara name — belongs to us or our licensors. These Terms do not grant you any rights in it beyond the right to use the Service.

8. Acceptable use

You must not:

  • use the Service for any unlawful purpose or in breach of any law;

  • generate content that is defamatory, hateful, or that infringes any third party's intellectual property or other rights;

  • attempt to imitate the voice, name or identity of a real artist or person without their consent;

  • reverse engineer, scrape, data-mine or access the Service by automated means, or circumvent any usage limits, token accounting or security measures;

  • resell, sublicense or provide the Service to third parties as a service; or

  • interfere with the operation of the Service or other users' use of it.

We may suspend or terminate accounts that breach this section.

9. AI disclaimer

Output is generated by artificial intelligence and is provided "as is". It may contain errors, artefacts or imperfections, may not match your prompt, and may resemble output generated for other users. Generation quality, stem separation accuracy and availability depend in part on third-party AI providers and are not guaranteed. The Service is experimental in nature and we do not warrant that Output will be fit for any particular purpose, except as required by law.

10. Third-party services and availability

The Service depends on third-party providers, including for AI music generation, authentication, payments and hosting. We do not control these providers, and the Service may be interrupted, degraded or limited by their availability or changes to their terms. We aim to keep the Service available but do not guarantee uninterrupted or error-free operation, and we may modify or suspend the Service for maintenance, security or legal reasons.

11. Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if we discontinue the Service (in which case we will give reasonable notice and a pro-rata refund of any prepaid, unused subscription period). On termination, your right to use the Service ends; sections of these Terms that by their nature should survive (including intellectual property, liability and governing law provisions) will survive.

12. Liability

To the maximum extent permitted by law, and subject always to the consumer guarantees in Section 5:

  • our total aggregate liability to you in connection with the Service is limited to the amount you paid us in the 12 months before the event giving rise to the claim (or AUD $50 if you have paid nothing); and

  • we are not liable for indirect or consequential loss, loss of profits, loss of data, or loss of opportunity.

Where liability under a non-excludable guarantee can lawfully be limited, our liability is limited, at our option, to resupplying the relevant services or paying the cost of having them resupplied.

13. Indemnity

You indemnify us against claims, losses and expenses (including reasonable legal costs) arising from your Inputs, your use of Output in breach of these Terms, or your breach of any law or third-party right — except to the extent we caused the loss.

14. Changes to these Terms

We may update these Terms from time to time. For material changes we will give you at least 30 days' notice by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance. If you do not agree to updated Terms, you may cancel your subscription before they take effect.

15. General

These Terms are governed by the laws of Victoria, Australia, and you and we submit to the non-exclusive jurisdiction of the courts of Victoria. If any provision is found invalid, the rest of the Terms remain in effect. These Terms, together with the Privacy Policy and pricing page, are the entire agreement between you and us regarding the Service. We may assign these Terms in connection with a business sale or restructure; you may not assign them without our consent.
